The Issuer was incorporated in Ireland as a designated activity company limited by shares on 20 July 2016 DAC pursuant to the Companies Act 2014. The authorised share capital of the Issuer is EUR 100,000,000 divided into 100,000,000 ordinary shares of EUR 1.00 each (each, a “Share”). The Issuer has issued one Share, which is fully paid up and is held by PartnerRe Holdings Europe Limited. The Issuer has been established as a special purpose vehicle for the purposes of, inter alia, issuing the Notes. The Issuer is a consolidated subsidiary of the Guarantor and a member of the Group. The Guarantor is an indirect wholly-owned subsidiary of EXOR, a European investment company controlled by the Agnelli family and listed on the Italian stock exchange, Borsa Italiana S.p.A.
