Transmeridian Exploration, Inc. was incorporated in the State of Delaware in 2000. The Company is an independent energy company engaged in the business of acquiring, developing and producing oil and natural gas. The Company's activities are primarily focused on the Caspian Sea region of the former Soviet Union, and primary oil and gas property is the South Alibek Field in the Republic of Kazakhstan, covered by License 1557 and the related exploration contract with the government of Kazakhstan. Transmeridian is currently pursuing additional projects in the Caspian Sea region and surrounding basins. The Company conducts its operations in Kazakhstan through wholly owned subsidiary, JSC Caspi Neft TME, a joint stock company organized under the laws of Kazakhstan. The Company's strategy is to increase its reserves, production and cash flows by acquiring and developing oil and gas reserves, exploring for new reserves and optimizing production and value from its existing reserve base. The Company's operations are subject to various levels of government controls and regulations in the United States and in Kazakhstan, including environmental controls and regulations. As of March 10, 2006, the Company had 157 employees.
