    We expect the gross proceeds from the Offering will be approximately 575 million EUR. Concurrently with the closing of this Offering on the Issue Date, the Initial Purchasers will deposit the gross proceeds of the Notes into the Escrow Account to hold such amounts pending consummation of the Acquisition, which which will be secured by the Account Charge. Upon the release of the proceeds of the Offering from the Escrow Account on or about the Completion Date, we will use the proceeds of the Offering, together with cash on hand and a new cash equity investment from the Apollo Funds, to consummate the Acquisition.
