    The net proceeds from the sale of the Notes, after the estimated transaction costs for the Offering, are expected to be approximately USD468 million (using the closing exchange rate of the US Dollar against the euro, as shown on Thomson Reuters, on March 4, 2021 of USD1.196 to EUR1.00). We are implementing the Offering in order to improve our debt maturity profile and to strengthen our liquidity headroom and our balance sheet. The company intends to use the net proceeds from this offering to redeem EUR350 million in aggregate principal amount of our 2023 Notes and for general corporate purposes.
