It is the world's fourth largest producer of zinc and silver, as well as Peru's largest producer of silver and lead. Volcan was founded in 1943 and is based in Lima, Peru.

    The total net proceeds from the offering of the notes are estimated to be US468,000,000 after deducting the discount paid to the initial purchasers and estimated legal fees and all other expenses payable by us in connection with the offering. The proceeds from the issuance of the notes will be used to purchase for cash up to US120,000,000 aggregate principal amount of our outstanding 2022 Notes that are tendered, not withdrawn and accepted for purchase pursuant to the Tender Offer Documents, excluding the tender premium. The remainder, if any, will be used to fully repay (i) the US300,000,000 aggregate principal amount outstanding under the credit agreement, dated August 13, 2020 (the Credit Facility), between us, the guarantors party thereto, certain lenders, The Bank of Nova Scotia, as administrative agent, Banco Santander, S.A. and The Bank of Nova Scotia as joint lead arrangers and bookrunners, Banco BTG Pactual S.A.
