    The company intends to use a portion of the net proceeds of this offering to repay $852.0 million aggregate principal amount of existing indebtedness of the company and the guarantors at the time of the issuance of the notes (including our 11.5% Senior Secured Notes and our 9.5% Senior Notes in full). We also intend to use up to $100.0 million of the net proceeds of the offering for a dividend payment to our shareholders and the remainder for general corporate purposes. We estimate the net proceeds from the sale of the notes, after deduction of estimated transaction fees and expenses, including the initial purchasers’ discount, will be approximately $1,229.0 million. The company intends to use approximately $951.7 million of the net proceeds from this offering to repay the $852.0 million aggregate principal amount of existing indebtedness of the company and the guarantors at the time of the issuance of the notes (which consists of $640.0 in principal amount of our 11.5% Senior Secured Notes and $212.0 in principal amount of our 9.5% Senior Notes), including accrued interest and premium in the amount of approximately $99.7 million. We also intend to use up to $100.0 million of the net proceeds of the offering for a dividend payment to our shareholders and the remainder for general corporate purposes.
