The net proceeds to BellSouth from the Notes offering will be approximately $2,725,292,500,before deducting expenses. These proceeds will be used to repay commercial paper. As of September 30, 2001, BellSouth had outstanding approximately $5.0 billion in commercial paper, bearing interest at annual rates ranging from 2.4% to 3.9%.Pending such use, a portion of such funds may be invested in short-term securities. BellSouth has used the commercial paper to repay indebtedness and for working capital, capital expenditures and other purposes. Unless otherwise specified in the prospectus supplement, we will use the proceeds from the sale of debt securities for the following purposes: To provide funds to repay our long- and short-term debt, if any; To provide the funds we need to diversify our activities; To provide funds for our subsidiaries; and To provide funds for our general corporate purposes.
