    The net proceeds from the sale of the notes, before expenses, will be EUR647,361,000 with respect to the euro notes due 2011, EUR498,225,000 with respect to the euro notes due 2015 andGBP593,952,000 with respect to the sterling notes, or $2,411,078,454 in the aggregate at an exchange rate of $1.3294 to EUR1.00 and $1.4953 toGBP1.00, respectively. The company intends to use the net proceeds from the sale of the notes to pay a portion of the Alltel Purchase Price, including the refinancing of certain Alltel debt, and to pay related fees and expenses. The net proceeds from the sale of the notes may be held in cash investments until the closing of the Alltel Acquisition. Holders of the Alltel debt include certain of the managers or their affiliates. As a result, certain of the managers or their affiliates may receive a portion of the net proceeds of this offering. We also anticipate entering into the Acquisition Bridge Facility in an amount sufficient to fund the balance of the Alltel Purchase Price remaining after application of the net proceeds of the sale of the notes offered hereby, the net proceeds of the sale of the November 21 Notes, cash and cash equivalents and the net proceeds from additional financings we may undertake from time to time prior to the closing of the Alltel Acquisition. In the event the Alltel Acquisition is not consummated, The company intends to use the net proceeds from the sale of the notes for general corporate purposes.
