    The net proceeds from the offering of the Notes are expected to be U.S.$60,000,000 million. The Issuer will use the net proceeds for the sole purpose of financing the Advance under the Subordinated Loan. MBRD will use the net proceeds from the Subordinated Loan, which are expected to be approximately U.S.$58.9 million, to fund its lending activities and for general banking purposes.
