    The net proceeds of the issue of the Notes, amounting to approximately U.S.$998,750,000 before the deduction of expenses in connection with the issuance of the Notes, will be used by the Issuer to finance certain capital expenditure, and may be used to pay down outstanding indebtedness under the credit facility agreement entered into by, among others, Absa Bank Limited, J.P. Morgan Chase Bank N.A. (Johannesburg Branch) (an affiliate of J.P. Morgan Securities plc) and The Standard Bank of South Africa Limited as original lenders and the Issuer as a borrower on 26 February2018 for the purpose of financing or refinancing certain eligible capital expenditures, and to finance payments to be made, or refinance payments previously made, by the Issuer in relation to certain other eligible capital expenditures.
