    The total net proceeds from the offering of the notes are estimated to be US$3479 million after deducting commissions paid to the initial purchasers and estimated legal fees and all other expenses payable by us in connection with the offering The proceeds from the issuance of the notes will be used to repay, in whole, the BCP Loan Agreement (loans under this agreement bear interest at a fixed rate of 315% per annum payable in arrears monthly through maturity on January 14, 2014), the BBVA/Nova Scotia Bank Loan Agreement (loans under this facility bear interest at a rate of LIBOR plus 170% per annum payable in arrears monthly through maturity on November 24, 2014) and the Scotiabank Peru Syndicated Loan Agreement (loans under this facility bear interest at a rate of LIBOR plus 330% per annum payable in arrears monthly through maturity on September 19, 2019), which as of March 31, 2013 will total an aggregate of US$1780 million, plus accrued interest, and for general corporate purposes, including to fund our capital expenditures and expansion projects See Managements Discussion and Analysis of Financial Condition and Results of Operations Liquidity and Capital Resources Indebtedness and Business Exploration and Growth Growth Projects The following table sets forth our capitalization in accordance with IFRS as of December 31, 2012 and as adjusted to give effect to the offering of the notes and the intended uses of proceeds thereof This table is qualified in its entirety by reference to, and should be read together with, our consolidated financial statements, including the notes thereto, included elsewhere in this offering memorandum
