    We expect that the net proceeds from the sale of the Notes will be approximately US$497 million, after deducting underwriting discounts and commissions and estimated net expenses payable by us. The company intends to use approximately 90% of the net proceeds from the sale of the Notes for the following: - to repay in full our 7.5% Notes due 2014 and the related cross currency swap with CorpBanca in an aggregate outstanding principal amount of approximately US$66.2 million; - to repay in full our 3.5% Series C local bonds due 2022 in an aggregate outstanding principal amount of US$24.1 million; and - to repay in part certain additional indebtedness of Interhold and our other affiliated companies in an aggregate outstanding principal amount of up to approximately US$357 million by means of a dividend or a capital reduction. We estimate that the net proceeds from the offering, net of fees and expenses payable by us, including underwriting discounts and commissions, will be approximately US$791,833,092. The company intends to use the net proceeds from this offering for general corporate purposes, primarily to fund our lending activities. Unless we indicate otherwise in the applicable prospectus supplement, The company intends to use the net proceeds from any initial sales of the securities offered under this prospectus and any prospectus supplements for general corporate purposes.
