The net proceeds from the Bonds amounted to USD 110 million. The net proceeds were converted to NOK before it was received by the Issuer, and the NOK amount received by the Issuer was 873,504,478. This amount was applied as follows: (i) NOK 400 million as a loan to the Issuer's parent company Vizrt Group Holding AS; and (ii) NOK 472.5 million as a shareholder loan to the Guarantor. All the proceeds from the Bond Issue were ultimately used towards paying the merger consideration payable in connection with the acquisition of Vizrt Ltd through a reverse triangular merger, but the NOK 400 million in (i) above was first given as a loan to Vizrt Group Holding AS and then contributed as equity in the Guarantor (grandparent contribution). The remaining bond proceeds have still not been applied by the Issuer.
