New Reclamation Group (Pty) Ltd., a recycling and waste management services company, collects, processes, and delivers recycled products in South Africa. It collects obsolete or discarded ferrous and non ferrous metals, waste paper, cardboard, glass, and plastic, as well as sorts and processes these according to end user specifications into products that are used as input materials for industrial manufacturing. The company exports recycled ferrous and non ferrous metal products to various steel producers/makers primarily in Malaysia, India, and Taiwan, as well as offers recycled aluminum ingots and pellets, and copper sulphate products. It also sells recycled paper and cardboard products to paper mills; recycled plastic to plastic products manufacturers; and recycled glass/cullet for glass manufacturers. In addition, the company provides demolition services, such as removal of obsolete or surplus buildings, plants, and steel and concrete structures; disposes illegal and redundant arms and stolen vehicles, which are confiscated or recovered by law enforcement agencies; and offers advisory services related to the recycling of waste materials. New Reclamation Group (Pty) Ltd. was formerly known as The Reclamation Group (Pty) Ltd. and changed its name to New Reclamation Group (Pty) Ltd. in February 2006.     We estimate that the net proceeds to the issuer from the sale of the notes offered hereby will be approximately EUR245.4 million (R1,802.2 million) after deducting the initial purchaser discounts and commissions. The gross proceeds of the offering will be held in escrow and will be used together with funds received from the Subordinated Shareholder Loans, equity contributions from our parent holding company and cash on hand to (i) effect the Asset Transfer under the Reclam Purchase Financing in the manner described under The Transactions - Financing transactions related to the Reclam Purchase, (ii) pay certain transactions costs related to the offering and make a distribution to the shareholder of the issuer and: (iii) fund R439.0 million of the total estimated R490.0 million cost of the SAM Assets Acquisition (the Transactions).
