The Company is a Luxembourg public limited liability company in the form of a societe anonyme formed on 10 March 2006. Compartment 1 of the Company has been formed solely for the purpose of issuing the Bonds and using the proceeds of the Bonds to finance (inter alia) (i) the Issuer Borrower Loan to the German Borrower and (ii) the purchase price for all claims (including monetary claims to repayments of amounts of principal and payments of interest) of the French Lender against the French Borrower under the French IBLA Agreement. The Issuer Borrower Loan and the French IBLA will be granted to the Breeze Borrowers in order to finance, or refinance the bridge financing for, (inter alia) the acquisition of certain Wind Farm assets and the construction, ownership and operation of a portfolio of Wind Farms in Germany and France.
