Use of proceeds description

The proceeds from the issue of the Class A1 Notes will be 200,000,000 GBP, the proceeds from the issue of the Class A2 Notes will be 550,000,000 GBP, the proceeds from the issue of the Class A3 Notes will be 418,750,000 USD, the proceeds from the issue of Class B1 Notes will be 350,000,000 GBP, the proceeds from the issue of Class B2 Notes will be 350,000,000 GBP and the proceeds from the issue of the Class C Notes will be 200,000,000 GBP. The amount of the underwriting fees and commissions payable pursuant to the Subscription Agreement will be 0.375% of the principal amount of the Notes. Therefore, the total net proceeds of the issue of the Notes, taking into account such fees and commissions, to the Issuer and the Securitization Group will be 1,892,875,000 GBP (calculated using an exchange rate of 1.00 GBP = 1.675 USD). On the Closing Date, the Issuer will, subject to and in accordance with the Issuer/Borrower Facility Agreement, as described in the section entitled "Description of the Borrower Transaction Documents - Issuer/Borrower Facility Agreement" above, apply the aggregate gross proceeds from the issue of the Notes after the proceeds of the Class A3 Notes have been exchanged into a sterling amount pursuant to the Currency Swap Agreement to make the Initial Term Advances to the Initial Borrower in an aggregate principal amount of 1,900,000,000 GBP (calculated using an exchange rate of 1.00 GBP 1.675 USD). On the Closing Date, the Initial Borrower will pay the = Initial Facility Fee to the Issuer.
