The purpose of the issue is for the Issuer to raise funds and lend such monetary fund to the Borrower (Sintech Group) for the Borrower (Sintech Group) to invest into the Underlying Investments, such as: I) Online Casino (Operational), which includes 1) development of Sportsbook, 2) pre-match ODDS service, 3) live ODDS service; II) B2B 1) Casino: Offering a readymade casino based on the "white label" model, 2) Sportsbook: Providing an Affiliate API for seamless integration of our Sportsbook solution into any partner site, 3) Affiliate system: Offering a versatile integration solution for partnering with other businesses, facilitating the rapid connection of partners to attract customers, 4) Integration of a bonus system: Ensuring the reliable integration of the bonus service, with a rich set of tools for deep customization of each bonus, 5) Casino games aggregator: Streamlining the acceptance of bets and the rapid connection of game providers through a single integration, eliminating the need for multiple integrations; (III) finance Marketing costs, (IV) fulfil fund management; as well as to (V) invest amounts (if any) into liquid assets (cash or liquid exchange traded securities). Proceeds generated and, as the case may be, the liquid assets will be used by the Borrower to pay to the Issuer for the Issuer to repay all amounts due as Interest (as defined in clause 6 of the Conditions (Interest) and principal under the Bonds.
