The proceeds from the Offering, net of an original issue discount on the Floating Rate Notes, were approximately ?1,200.5 million (equivalent) and were used, together with cash on hand, to: redeem in full the outstanding amount of Existing Notes, including the relevant redemption premiums and accrued but unpaid interest; repay in full the outstanding Existing PIK Loans under the Existing PIK Facility, including prepayment fees and accrued but unpaid interest, and to discharge and terminate such facility; settle our currency hedging obligations in connection with the Existing Notes; and pay costs fees and expenses in connection with the Refinancing Transactions and the Acquisition.
