The company intends to use the proceeds (i) to repay utilizations under the Senior Revolving Credit Facilities in full, (ii) for general corporate purposes, which may include the scheduled 320,000,000EUR amortization payment due under the Senior Term Loan Facility on January 25, 2020, and (iii) to pay certain debt issuance costs in connection with the Offering.
