    We estimate the net proceeds from this offering will be approximately €2.969 million after deducting the underwriting discounts and offering expenses payable by us. The company intends to use the net proceeds from this offering, together with short-term borrowings and cash on hand, to fund the Tender Offer for up to $2,500,000,000 in aggregate principal amount of the Tender Offer Notes, to fund the redemption of the 2022 notes, the 2023 notes and the 2025 notes to the extent such notes are not purchased in the Tender Offer and we elect to redeem such notes and to pay accrued and unpaid interest, premiums, fees and expenses in connection with the Tender Offer and the redemption, as described above under “Summary — Recent Developments.” The company intends to use any remaining proceeds for repayment of other indebtedness and general corporate purposes.
