The company expects that the total cash consideration in connection with the Ball Metalpack Acquisition will be approximately $1,350 million. The company intends to use an amount equal to the net proceeds of this offering, together with borrowings under our expected $300 million term loan facility and commercial paper borrowings, to fund the cash consideration in connection with the Ball Metalpack Acquisition, which qualifies as an Eligible Project (as defined below) under our Green Financing Framework.
