    The aggregate principal amount of the Notes will be EUR 600 million. The Issuer will use the gross proceeds from the Offering (i) to repay its existing secured bank debt of EUR 569 million and (ii) to pay the costs, fees and expenses in relation to the Offering, including underwriting commissions with respect to the Notes as well as fees for legal, accounting, printing, ratings advisory and other professional services. See Risk Factors - Risks Related to Our Indebtedness and the Notes - Due to prepayment notification requirements under the credit agreements governing certain of our existing secured debt, there will be a delay between the issuance of the Notes and the application of the proceeds therefrom to refinancing such debt. An amount equal to the net proceeds of the issue of the Notes will be applied towards financing and/or refinancing a portfolio of eligible green projects (Eligible Green Projects) in accordance with our green finance framework (the Green Finance Framework), which may in the future be updated in line with developments in the market.
