Use of proceeds description

The gross proceeds from the sale of the Trust Securities will be invested by the Trust in the Class B Preferred Securities. The Company will use the funds from the sale of the Class B Preferred Securities, together with funds contributed by Postbank in return for the Class A Preferred Security and in return for the Company Common Security, to make an investment in the Initial Debt Securities. Postbank intends to treat the Class B Preferred Securities or, as the case may be, the Trust Preferred Securities, as consolidated Tier 1 regulatory capital. Postbank intends to use the proceeds from the sale of the Initial Debt Securities for general corporate purposes to increase financial flexibility for possible transactions.
