Use of proceeds description

The estimated net proceeds of the issue of the Offered Notes after payment of fees and expenses payable on or about the Issue Date (including, without duplication amounts deposited into the Expense Reserve Account) are expected to be approximately €373,580,000. Such estimated net proceeds will be used by the Issuer to (i) redeem the Original Rated Notes at their respective aggregate Redemption Prices, (ii) pay certain Administrative Expenses and/or Trustee Fees and Expenses, as applicable, (iii) subject to paragraph (v) below, pay certain other amounts, together with available Interest Proceeds and Principal Proceeds, in each case in accordance with the Original Post-Acceleration Priority of Payments and (iv) pay certain amounts to the Holders of Subordinated Notes as determined by the Collateral Manager. The remainder (if any) shall be retained in the Unused Proceeds Account at the Collateral Manager’s discretion and shall be applied toward the acquisition of Collateral Debt Obligations.
