    PifCo intends to use the net proceeds from the sale of the notes to repay the 4.5 billion USD aggregate amount borrowed by PifCo under lines of credit with Banco Santander S.A., London Branch, Citibank, N.A., HSBC Bank USA, N.A., JPMorgan Chase Bank, N.A. and Societe Generale, affiliates of certain of the underwriters, between March 24, 2009, and June 5, 2009, to finance Petrobras’ planned capital expenditures. As of the date of this prospectus supplement, there is 3.168 billion USD outstanding under these loans, which will mature in 2011 and bear interest at an initial rate of Libor plus spreads reflecting prevailing rates at the time of incurrence. PifCo will initially apply the proceeds of this offering to reduce the total amount outstanding under the loans with Banco Santander S.A., London Branch, Citibank, N.A., HSBC Bank USA, N.A. and JPMorgan Chase Bank, N.A. prior to their maturity dates, until the amount owed by PifCo to each bank is reduced to 500 million USD or less. At that time, in addition to repaying the loans mentioned above, the proceeds of this offering will also be used to reduce the total amount outstanding under the loan with Societe Generale. PifCo will use any proceeds of this offering that may remain after the repayment of the loans mentioned above for general corporate purposes, which may include the financing of the purchase of oil product imports and the repayment of existing trade-related debt and intercompany loans. PifCo may also lend some portion of the net proceeds to Petrobras, which Petrobras would use for general corporate purposes, including financing its planned capital expenditures.
