  • Use of proceeds description
    An amount equal to the net proceeds from the Offering is intended to be allocated to Eligible Green Projects as defined under the section Green Finance Framework." The Issuer estimates that the net proceeds from the sale of the Notes will amount to approximately EUR 291.3 million after payment of the estimated commissions and other expenses related to the offering of the Notes that are to be borne by the Issuer. It is expected that the net proceeds from the sale of the Notes will be on-lent by the Issuer to the Guarantor under the Note Proceeds Loan (as defined in section Description of the Notes). The Guarantor expects to use the net proceeds received from the Issuer under the Note Proceeds Loan for future Eligible Green Projects and cash on balance sheet. Within 36 months after the issuance of the Notes, The company intends to allocate an amount equal to the net proceeds from the sale of the Notes to Eligible Green Projects (please refer to Green Finance Framework for further details). An amount equal to the net proceeds will be used to finance or re-finance, in part or in full, new and/or existing Eligible Green Projects and/or Assets providing distinct environmental benefits. In the case of refinancing existing Eligible Green Projects, investments and expenditures which have been made within the 36-month period preceding the date of issuance of a Green Financing Instrument shall be considered for inclusion as Eligible Green Projects. We will ensure on a best efforts basis that the portfolio of Eligible Green Projects exceeds, or at least is equal to, the amount of instruments raised under the Green Finance Framework. Eligible Green Projects is used herein to refer to assets eligible for green finance. Eligible Green Projects can be owned by any subsidiaries of SIGNA Development Selection AG or by joint venture companies and are expected to be located in the German speaking regions in Europe e.g., Austria, Germany and Northern Italy. The assets are required to meet at least one of the following eligibility criteria (i) Green Buildings: acquisition, construction or refurbishment of buildings with minimum green building certification of BREEAM Excellent, or LEED Gold and above, DGNB Gold and above, GNI and Gold and above or any equivalent standard; (ii) Energy efficiency: Renovations or refurbishments of existing buildings in order to significantly reduce carbon emissions and improve energy efficiency by at least 20% in comparison with the energy performance of the building before the renovation; these can include (but not limited to) installing LED lighting, replacing and/or upgrading building management systems; (iii) Renewable energy: new or existing investments in or expenditures on the acquisition, development, construction and/or installation of renewable energy production units; and (iv) Clean Transportation: electric vehicle charging infrastructure in our development projects. The defined eligibility criteria are designed to lead to positive environmental impacts and advance the UN Sustainable Development Goals (SDGs), specifically SDG 7 and 11.
