Use of proceeds description

The proceeds from the issuance of the Refinancing Notes on the Issue Date are expected to be approximately €386,297,000.00. Such estimated proceeds will be applied by the Issuer together with certain Principal Proceeds and Interest Proceeds, in each case, in accordance with the Conditions to (i) redeem the Refinanced Notes at their respective aggregate Redemption Prices, (ii) pay certain Administrative Expenses and/or Trustee Fees and Expenses, as applicable, in accordance with the Conditions, (iii) purchase additional Collateral Obligations after the Issue Date and (v) pay certain other amounts, in each case, in accordance with the Post-Acceleration Priority of Payments. The remaining proceeds shall be (at the discretion of the Collateral Manager) retained in the Unused Proceeds Account and shall be used by the Issuer to pay the purchase price payable in respect of the SPV Warehoused Assets pursuant to the Warehouse SPV Forward Purchase Agreement.
