    The net proceeds of the notes to us is approximately U.S.$197,561,760. We will use the net proceeds of the Notes solely (a) to refinance the existing financial indebtedness in relation to the Green Assets through repayment of all outstanding principal and accrued and unpaid interest equal to U.S.$116.7 million under the existing senior secured credit facility, plus the payment of a prepayment fee of U.S.$0.038 million and accrued interest up to the disbursement date; (b) to repay U.S.$33.3 million of outstanding principal and accrued and unpaid interest as of September 30, 2014 under certain of our existing affiliate loans and management services payable, plus the payment of accrued and unpaid interest up to the disbursement date; (c) to provide an estimated U.S.$10.8 million subordinated intercompany loan to ContourGlobal Latam; (d) to make the Vestas Escrow Payment, estimated to be U.S.$21.9 million, constituting remaining engineering, procurement, construction and development costs relating to the Projects; (e) to provide for the initial funding of the O&M Reserve Account in an amount equal to U.S.$1.9 million and of the Debt Service Reserve Account in an amount equal to U.S.$9.1 million (consisting of an initial contribution of U.S.$6.2 million and the Additional DSRA Payment, both components of which shall be funded from the proceeds of the Notes); (f) to pay the fees and expenses related to the offering of the Notes; and (g) for general corporate purposes relating to the operation and maintenance of the Projects.
