Accredited Investors- investors who are allowed to buy securities issued under Reg D. In the Rule 501 (a) Rule of the Securities Act the United States Securities and Exchange Commission determined categories of accredited investors defined below:
Institutional investors (US banks, foreign banks branches, any registered broker and dealer, any savings and loans associations, insurance and investment companies);
limited liability companies with total assets in excess of $5 million;
chief executives and partners of an issuer;
private investors with total assets in excess of $1 million;
trust with total assets in excess of $5 million;
entities with all shareholders qualified as accredited investors.
