The purpose of placing

The proceeds of the Series 2014-1 Notes will be used, directly or indirectly, as follows: (i) to pay the fees, expenses and indemnity (if applicable) of the Indenture Trustee, the Issuer, the Owner Trustee, the Administrator, the Servicer, the Bond Administrator, the Independent Consultant and other expenses relating to the offering of the Series 2014-1 Notes or the Series 2014-2 Notes; (ii) to fund the Series 2014-1 Debt Service Reserve Account and to be deemed to fund the Series 2014-2 Debt Service Reserve Account (and thereby fund the Series 2014-2 Special Debt Service Reserve Account); (iii) to pay any other amounts or fund any other accounts as contemplated in the Transaction Documents; (iv) to pay as partial consideration for the Initial Oil Revenues and the Initial Oil Revenue Rights to the Companhia Securitizadora as well as to pay related costs thereto (including any make-whole payments and transaction costs related thereto); (v) to pay as partial consideration for the portion of the Assigned Oil Revenues and the Assigned Oil Revenue Rights representing the Assigned Continuously Owned RioPrevi Oil Revenues and the Assigned Continuously Owned RioPrevi Oil Revenue Rights; and (vi) the remainder thereof to the Sponsor to fund its ongoing pension liabilities.
